Step-by-Step Guide to Starting a Business in the USA is one of the most significant financial and professional decisions you will ever make. The United States remains one of the best countries in the world to start and grow a business, thanks to its strong legal framework, access to capital, diverse consumer market, and relatively straightforward business formation process.

Whether you are a U.S. citizen launching your first venture, an immigrant entrepreneur building something new, or a foreign national looking to establish a U.S.-based business entity, this guide walks you through every step of the process in clear, practical terms. No jargon. No confusion. Just the exact steps you need to take to start a legitimate, compliant, and successful business in the USA.

At TaxMagic, we help entrepreneurs across California, Texas, and the rest of the country navigate every stage of this journey, from choosing the right business structure to filing taxes correctly from day one.

Step 1: Develop a Clear Business Plan

Before you file a single form or spend a single dollar, you need a business plan. A business plan is not just a document for investors. It is your roadmap for making smart decisions about your product or service, your target market, your pricing, your startup costs, and your path to profitability.

Your business plan should answer several core questions. What exactly are you selling, and who is your ideal customer? What problem does your product or service solve? Who are your main competitors, and how will you differentiate yourself? What are your startup costs and ongoing monthly expenses? How long will it take to reach profitability?

A well-thought-out business plan forces you to stress-test your idea before committing significant time and money. It also becomes an essential tool if you ever need to apply for a business loan, attract investors, or bring on a business partner.

The U.S. Small Business Administration provides a free business plan template and step-by-step guidance that is specifically designed for new entrepreneurs.

Step 2: Choose the Right Business Structure

The legal structure you choose for your business affects your personal liability, your tax obligations, your ability to raise capital, and the ongoing administrative requirements you will face. This is one of the most important decisions you will make as a new business owner.

The most common business structures in the United States are the sole proprietorship, the Limited Liability Company, the S-Corporation, and the C-Corporation.

A sole proprietorship is the simplest structure. There is no formal registration required beyond any applicable local business licenses. However, a sole proprietorship offers no separation between you and your business, meaning your personal assets are fully exposed to any business debts or lawsuits.

An LLC is by far the most popular choice for new entrepreneurs in 2026. It provides personal liability protection, separating your personal assets from your business obligations. It offers pass-through taxation, meaning business profits are reported on your personal tax return rather than at the corporate level. And it has minimal ongoing administrative requirements compared to a corporation. Most small businesses, freelancers, and startups are best served by forming an LLC.

An S-Corporation is a tax election that an LLC or corporation can make with the IRS. It allows business owners who pay themselves a reasonable salary to take additional profits as distributions that are not subject to self-employment tax. This can produce meaningful tax savings for business owners generating consistent profits above approximately $50,000 per year.

A C-Corporation is the appropriate structure for businesses planning to raise venture capital, issue stock to multiple investors, or eventually pursue a public offering. C-Corps are subject to corporate income tax at the entity level, which creates the potential for double taxation, but they also offer advantages that other structures do not provide for high-growth businesses.

For most entrepreneurs starting out in 2026, forming an LLC is the right first move. TaxMagic helps clients evaluate which structure makes the most sense for their specific goals and handles all formation filings.

Step 3: Choose and Register Your Business Name

Your business name is your first impression. Before you fall in love with a name, verify that it is available. Every state maintains a searchable database of registered business names through its Secretary of State website. If another business in your state has already registered the name you want, you cannot use it for your LLC or corporation.

Beyond state registration, also check whether the name is trademarked at the federal level using the USPTO Trademark Electronic Search System. A name that is not taken in your state may still be federally trademarked, which could create legal problems down the road.

Also, check domain name availability. Your business name and your website domain should match as closely as possible for branding consistency. Once you have confirmed availability across all of these channels, file your business name registration as part of your LLC or corporation formation with your state.

Step 4: File Your Formation Documents with the State

To officially create your LLC or corporation, you must file formation documents with your state government. For an LLC, this document is called the Articles of Organization. For a corporation, it is called the Articles of Incorporation.

These documents are filed with the Secretary of State or equivalent state agency. Filing fees vary by state, ranging from as low as $50 in some states to $500 or more in others. Most states process standard filings within one to three weeks, with expedited options available for an additional fee.

After your LLC is formed, you should also create an Operating Agreement even if your state does not require one. An Operating Agreement is an internal document that defines how your business will be governed, how profits will be distributed, and what happens if an owner wants to exit the business. It is essential for protecting your limited liability status.

TaxMagic handles the complete state formation process for clients, ensuring accuracy and eliminating the delays that come from filing errors.

Step 5: Apply for a Federal EIN

Every business entity, including single-member LLCs, needs an Employer Identification Number from the IRS. Your EIN is your business’s federal tax identification number, used for filing taxes, opening a business bank account, hiring employees, and applying for business licenses.

Applying for an EIN is completely free through the IRS EIN online application. The online application takes approximately ten minutes and issues your EIN instantly upon completion. There is no reason to pay a third-party service to obtain your EIN. Any website charging a fee for this service is unnecessary.

If you are a foreign national or non-U.S. resident forming a U.S. business entity, you can still obtain an EIN by submitting IRS Form SS-4 by mail or fax rather than through the online portal, which requires a U.S. Social Security Number or Individual Taxpayer Identification Number.

Step 6: Open a Dedicated Business Bank Account

One of the most important early steps for any new business is opening a dedicated business bank account in your company’s name. This is not optional for LLC owners. Mixing personal and business finances, commonly called commingling funds, can legally strip away your personal liability protection by making it appear that your LLC is not a genuinely separate entity.

Beyond protecting your liability status, a dedicated business bank account makes bookkeeping significantly easier, simplifies tax preparation, and creates a clear financial record of your business income and expenses from day one.

When choosing a business bank account, look for accounts with no monthly fees or low minimum balance requirements, integration with bookkeeping software, online and mobile access, and the ability to accept ACH payments and wire transfers if your business model requires them.

Step 7: Obtain Required Business Licenses and Permits

Most businesses require at least some form of license or permit to operate legally. The specific requirements vary significantly based on your industry, your business type, and the city, county, and state where you operate.

At the federal level, most businesses do not need a federal license unless they operate in a regulated industry such as alcohol distribution, firearms, transportation, or financial services. At the state level, most states require a general business license or seller’s permit if you sell taxable goods or services. At the local level, cities and counties often require their own business licenses, zoning permits, and sometimes home occupation permits for businesses operating from a residential address.

The SBA’s Business License and Permits tool helps new business owners identify the specific licenses and permits required for their business type and location.

Failing to obtain required licenses can result in fines, forced closure, and personal liability for operating an unlicensed business. TaxMagic helps clients identify and obtain all required licenses before they begin operations.

Step 8: Set Up Your Bookkeeping System

Clean, accurate financial records are the foundation of a successful business. From the very first day you open your business bank account, every income transaction and every expense should be recorded in a consistent bookkeeping system.

For most small businesses, cloud-based accounting software such as QuickBooks Online, Xero, or Wave provides the right combination of functionality and ease of use. These platforms connect directly to your business bank account, categorize transactions automatically, generate financial reports, and integrate with payroll and tax preparation software.

Accurate bookkeeping does more than satisfy the IRS. It tells you whether your business is actually profitable, which expense categories are growing faster than revenue, and whether your cash flow will support the growth decisions you are planning to make.

TaxMagic provides professional bookkeeping services for small businesses that want the accuracy of expert-managed records without the cost of a full-time internal accountant.

Step 9: Get the Right Business Insurance

Business insurance is not optional. It is a legal requirement for certain types of businesses and a financial necessity for all of them. Before your business begins serving customers or generating revenue, make sure you have the right coverage in place.

At a minimum, most small businesses need general liability insurance, which covers third-party bodily injuries, property damage, and advertising injury claims. If you have employees, workers’ compensation insurance is legally required in almost every state. If your business provides professional services or advice, professional liability insurance protects you from client claims that your work caused them financial harm. If your business handles customer data or operates online, cyber liability insurance is essential in 2026.

According to the Insurance Information Institute, bundling your coverage under a Business Owner’s Policy is often the most cost-effective approach for small businesses, combining general liability and commercial property coverage into a single discounted package.

TaxMagic’s insurance services help new business owners assess their coverage needs and connect with the right policies for their industry and risk profile.

Step 10: Understand Your Tax Obligations from Day One

Tax compliance is one of the areas where new business owners most frequently make costly mistakes. Understanding your tax obligations before you start generating revenue is far better than discovering problems after the fact.

As a business owner in the United States, your primary federal tax obligations include income tax on your net business profits, self-employment tax of 15.3 percent on the first dollar of net self-employment income if you operate as a sole proprietor or single-member LLC, and quarterly estimated tax payments to the IRS four times per year.

The IRS requires most self-employed individuals and small business owners to make quarterly estimated tax payments. According to the IRS Estimated Tax guidance, these payments are due on April 15, June 16, September 15, and January 15 of the following year for the 2026 tax year. Failing to make the required estimated payments results in underpayment penalties that accumulate throughout the year.

If you have employees, you also have payroll tax obligations, including federal income tax withholding, Social Security and Medicare contributions, and federal and state unemployment taxes.

State tax obligations vary significantly depending on where your business is located. Many states have their own income tax, sales tax registration requirements, and annual LLC fees that must be paid to maintain your business in good standing.

TaxMagic helps new business owners understand and meet every federal and state tax obligation from day one, including quarterly estimated tax management, payroll setup, and annual return preparation.

Step 11: Build Your Online Presence

In 2026, every business needs a professional online presence regardless of industry or business model. Customers research businesses online before making purchasing decisions, and a business without a website or Google Business Profile is essentially invisible to a significant portion of its potential customer base.

Start with a professional website that clearly communicates what your business does, who it serves, and how to contact you. Platforms such as WordPress, Squarespace, and Shopify make it possible to launch a professional-looking website without technical expertise.

Set up a free Google Business Profile for your company. A Google Business Profile allows your business to appear in local search results and on Google Maps, and it is one of the highest-impact free marketing tools available to small business owners.

Depending on your industry and target audience, establishing a presence on relevant social media platforms can also be valuable. Focus on the platforms where your ideal customers are most active rather than trying to maintain a presence on every available channel simultaneously.

What Does It Cost to Start a Business in the USA in 2026?

One of the most common questions new entrepreneurs have is how much it costs to get started. The answer varies significantly based on your business type, but here is a realistic overview of typical startup costs.

State LLC filing fees range from $50 to $500, depending on the state. A registered agent service costs between $50 and $300 per year. An EIN from the IRS is completely free. A basic website costs between $100 and $500 for the first year, depending on the platform and domain. Business insurance premiums vary by coverage type and industry but often start around $500 to $1,000 per year for a basic general liability policy. Local business licenses typically cost between $50 and $200, depending on your location.

In total, most new small businesses can expect to spend between $500 and $2,000 to complete the formal setup process, excluding inventory, equipment, or marketing costs specific to their business model.

Starting a Business in the USA as a Non-Citizen or Foreign Entrepreneur

One of the most frequently asked questions TaxMagic receives is whether non-U.S. citizens or foreign nationals can start a business in the United States. The answer is yes in most cases.

Foreign nationals can form an LLC in the United States without being a U.S. citizen or permanent resident. There is no citizenship requirement for LLC ownership. You will need to select a state for formation, appoint a registered agent with a physical U.S. address, file Articles of Organization with that state, and obtain an EIN through the IRS mail or fax process rather than the online portal.

However, the tax and immigration implications of operating a U.S. business as a foreign national are complex and vary based on your specific situation, country of residence, and the nature of your business activities. TaxMagic works with international entrepreneurs to navigate these complexities and ensure full compliance with both U.S. tax law and applicable international reporting requirements.
